Company reserves the right to modify the agenda to provide a robust educational experience.
Company reserves the right to cancel the Retreat because of inadequate enrollment that makes the Retreat economically infeasible to host. If Company cancels the Retreat due to inadequate enrollment, Company’s liability is limited to a full refund of your payments to us, minus any bank or credit card processing fees, and Company will not be liable for any other costs, damages, or refunds of any kind for any loss, delay, inconvenience, disappointment, or expense whatsoever in such circumstances, including but not limited to your airline reservations. If a Retreat in progress must be interrupted or canceled, Company’s liability shall be strictly limited to a refund of the recoverable cost of any unused portion of the Retreat.
Company reserves the right to cancel the Retreat before it begins because of Company’s concerns with respect to the safety, health, or welfare of our travelers or staff, or due to a Force Majeure Event (as defined below), which includes border closings that are beyond Company’s control. If Company cancels the Retreat pursuant to this paragraph, Company’s liability is limited to a full refund of all payments to us, minus your non-refundable deposit and any non-refundable costs we have incurred in preparing your Retreat in excess of the non-refundable deposit and minus any bank or credit card processing fees. Company will not be liable for any other costs, damages, or refunds of any kind for any loss, delay, inconvenience, disappointment, or expense whatsoever in such circumstances, including but not limited to airline reservations.
Very rarely, Company or its affiliates may be forced by a Force Majeure Event (as defined below) to change or terminate your Retreat after departure but before the scheduled end of your Retreat. This is extremely unlikely but if this situation does occur, we will limit any refund to the recoverable cost of any unused portion of the Retreat. As stated above, you are urged to obtain travel insurance to cover the potential costs that you would incur if the Retreat were canceled for any reason.
- Force Majeure. Company assumes no responsibility for any personal injury, property damage or other loss, accident, delay, inconvenience or irregularity which may be occasioned by reason of any matter beyond our exclusive control, including, but not limited to, a delay or cancellation that causes you to miss all or any portion of the Retreat, acts of God, acts of government, war, terrorist acts, riots, disaster, weather extremes, strikes, civil strife, industrial dispute, natural or nuclear disaster, fire, flood, epidemic, pandemic, global health emergency, closure of airports or airspace and all similar events outside our control (each a “Force Majeure Event”).

Where liability cannot be excluded, Company limits its liability to the maximum extent permitted by law.
- The maximum aggregate liability of Company for any claim in any way connected with, or arising from, the Retreat or this Agreement, whether in contract, tort, or otherwise (including any negligent act or omission), shall be limited to the amount paid by you to Company under this Agreement.

- If Company or its affiliates are required to incur any additional expense due to your behavior, which may or may not result in termination of your admittance to the Retreat, or your failure to adhere to other rules presented during the Retreat, you will be solely responsible for reimbursement of such expenses.
- Miscellaneous. Company’s failure to exercise any right provided for herein shall not be deemed a waiver of any further rights hereunder. Company shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Company’s reasonable control. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect and enforceable. This Agreement is not assignable, transferable, or sub-licensable by you except with Company’s prior written consent. This Agreement shall be governed by the laws of the State of Illinois.
